These Terms of Service ("Terms") govern your access to and use of the services provided by Appendix Technologies LLC ("Appendix," "we," "us," or "our"), including our variable expense management platform, website, and related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.
By creating an account or using our Services, you represent that you are at least 18 years old, have the authority to bind the entity on whose behalf you are using the Services, and agree to comply with these Terms. If you do not agree, do not use our Services.
Appendix provides a software platform for managing and analyzing variable expenses, including utility bills and other recurring operational costs. Our Services may include data ingestion, analysis, reporting, forecasting, and integration with third-party systems.
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.
Access to certain features of our Services requires a paid subscription. Fees are billed in advance on a monthly or annual basis as specified in your order. All fees are non-refundable except as expressly stated in these Terms or required by law. We reserve the right to change our pricing with 30 days' notice.
You retain all ownership rights to the data you upload or provide to us ("Your Data"). You grant Appendix a limited, non-exclusive license to use, process, and display Your Data solely to provide and improve the Services. We will not share Your Data with third parties except as described in our Privacy Policy or with your consent.
You agree not to: use the Services for any unlawful purpose; upload malicious code or attempt to compromise the security of our systems; interfere with other users' access to the Services; reverse engineer, decompile, or attempt to extract the source code of our software; resell or redistribute the Services without our written consent; or use the Services to transmit spam or unsolicited communications.
All rights, title, and interest in the Services, including software, designs, documentation, and trademarks, are owned by Appendix or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or brand features without prior written consent.
Our Services may integrate with third-party applications and services. Your use of third-party integrations is subject to those third parties' terms and policies. We are not responsible for the availability, accuracy, or practices of third-party services.
We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may perform scheduled maintenance with reasonable advance notice. Support is provided via email during normal business hours.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES. APPENDIX DOES NOT PROVIDE FINANCIAL, TAX, OR LEGAL ADVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APPENDIX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless Appendix and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
These Terms remain in effect until terminated. You may terminate your account at any time by contacting us. We may suspend or terminate your access if you breach these Terms or for any other reason with 30 days' notice. Upon termination, your right to use the Services ceases, and we may delete Your Data after a reasonable retention period unless otherwise required by law.
We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on our website and updating the effective date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.
These Terms constitute the entire agreement between you and Appendix regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision does not waive our right to do so later. You may not assign these Terms without our consent; we may assign them freely.
